By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.

This Website is offered and available to users who are 18 years of age or older. By using  this Website, you represent and warrant that you are of legal age to form a binding  contract with the Company and meet all of the foregoing eligibility requirements. TurnKey DPC  provides operational guidance and practice-launch support for physicians that is  educational and operational in nature and does not constitute legal, tax, medical,  compliance, or other professional advice. We do not  warrant the accuracy, completeness, or usefulness of any information on the Website,  including content provided by third parties such as other users, bloggers, third-party licensors, syndicators, aggregators, and/or reporting services; such third-party content  does not necessarily reflect the opinion of the Company, and we are not responsible or  liable to you or any third party for its content or accuracy. By providing your contact  information or registering on the Website, you consent to receive marketing and  promotional communications from TurnKey DPC, including emails, newsletters, and other  materials. You may unsubscribe from such communications at any time by following the  instructions provided in the communication. 

SMS/Text Message Communications 

By providing a mobile telephone number to TurnKey DPC, you expressly consent in writing to receive text messages (SMS and MMS) from TurnKey DPC and its agents and  service providers at that number and any mobile number you provide to us in the future.  Such messages may include transactional or informational messages (such as account  alerts and service updates) and marketing or promotional messages (such as offers and  announcements), whether sent via autodialer, prerecorded message, or automated  system, even if your number appears on any Do Not Call registry. 

Your consent to receive marketing texts is not a condition of any purchase. However,  transactional or informational texts may be required as a condition of using certain features or services. 

Message frequency varies. Message and data rates may apply. You are solely  responsible for any charges imposed by your wireless carrier. TurnKey DPC is not liable  for any charges, delays, failures, or errors in the delivery of any text message, including  those caused by your carrier or factors outside TurnKey DPC’s control. TurnKey DPC is  not a healthcare provider and its text messaging service is not a secure communications  channel. Do not send any personal health information, protected health information, or  other sensitive medical data via text message. TurnKey DPC assumes no responsibility  or liability for any such information you transmit via text, and you do so entirely at your  own risk. 

To opt out of marketing texts, reply STOP to any such message. You may receive one  final confirmation text following your opt-out. Opting out of marketing texts does not affect  transactional or informational messages, which may continue in connection with your use of the Website or Portal. You represent and warrant that you are the account holder of any mobile number you  provide, or are authorized by the account holder to consent to receive texts at that  number. If you change, reassign, or relinquish any number you have provided, you must  immediately notify us at Website@turnkeydpc.com. You are solely liable for any claims  or costs arising from your failure to provide such notice. 

TurnKey DPC may modify, suspend, or discontinue its text messaging program at any  time, without notice and without liability to you. 

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND WAIVE ANY  AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR RECEIPT OF, OR  FAILURE TO RECEIVE, ANY TEXT MESSAGE FROM TURNKEY DPC, INCLUDING  ANY CLAIMS UNDER THE TELEPHONE CONSUMER PROTECTION ACT, 47 U.S.C. §  227 ET SEQ., OR ANY SIMILAR FEDERAL OR STATE LAW. 

Customer Portal 

To the extent TurnKey DPC makes a customer portal available through the Website (the  “Portal”), the following additional terms apply. 

Account Registration. Access to certain Portal features may require you to register for  an account. You agree to provide accurate, current, and complete information during  registration and to update such information as necessary to keep it accurate, current, and  complete. The Company reserves the right, in its sole discretion, to reject, modify, or  require changes to any username or account credentials you select, for any reason and  without notice or liability. 

Account Security. You are solely responsible for maintaining the confidentiality of your  login credentials, including your username and password. You agree to notify the  Company immediately at Website@turnkeydpc.com upon becoming aware of any  unauthorized access to or use of your account or any other security breach. You are  responsible and liable for all activity that occurs under your account, whether or not  authorized by you. The Company shall not be liable for any loss, damage, or harm arising  from your failure to safeguard your credentials or from any unauthorized use of your  account. 

Portal Access Rights. Subject to these Terms of Use, the Company grants you a limited,  non-exclusive, non-transferable, revocable license to access and use the Portal solely for  your own internal business purposes. You may not share your login credentials, permit  any third party to access the Portal through your account, or otherwise allow unauthorized  access to the Portal. The Company may, at any time and in its sole discretion, restrict the  number of authorized users, devices, or concurrent sessions permitted to access the  Portal.

Portal Availability. THE COMPANY DOES NOT WARRANT OR GUARANTEE THAT  THE PORTAL WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE  AT ANY TIME. The Company may, at any time and without notice or liability to you, modify,  suspend, or permanently discontinue the Portal or any feature or functionality thereof,  whether for scheduled or unscheduled maintenance or for any other reason. The  Company shall not be liable for any downtime, data loss, or other harm resulting from any  unavailability of the Portal. 

Portal Content and Data. You retain ownership of any data, documents, or other  materials you upload or submit to the Portal (“Portal Content”). By uploading or submitting  Portal Content, you hereby grant the Company a worldwide, non-exclusive, royalty-free,  sublicensable, and transferable license to use, copy, store, process, display, and  distribute your Portal Content as necessary to provide and improve the Portal and for the  Company’s internal business purposes. The Company may delete your account and all associated Portal Content following twelve (12) consecutive months of account inactivity,  without prior notice or liability to you. The Company may also, in its sole discretion,  immediately delete your account and all associated Portal Content upon your failure to  make any required payments when due, without prior notice or liability to you. The  Company may also retain copies of your Portal Content for legal, regulatory, compliance,  or backup purposes, notwithstanding any termination or deletion of your account. 

Suspension and Termination of Portal Access. The Company may suspend, restrict,  or terminate your access to the Portal at any time, for any reason or no reason, with or  without notice, and without liability to you of any kind. Upon any termination of your Portal  access, your right to access and use the Portal ceases immediately. The Company shall  not be liable for any loss of data, loss of access, or other harm arising from or related to  the suspension or termination of your Portal access. Your obligations under these Terms  of Use with respect to any prior use of the Portal shall survive any such termination. 

Portal-Specific Prohibited Conduct. In connection with your use of the Portal, you  agree that you will not: (a) attempt to gain unauthorized access to any other user’s  account, Portal system, or related infrastructure; (b) reverse engineer, decompile,  disassemble, or otherwise attempt to derive the source code or underlying structure of  the Portal; (c) probe, scan, or test the vulnerability of the Portal or any related network or  system; (d) use any automated tool, script, bot, spider, or similar mechanism to access,  scrape, or interact with the Portal; (e) exceed any applicable usage limits or restrictions  established by the Company from time to time; or (f) otherwise violate these Terms of  Use. Any violation of this section may result in immediate termination of your Portal  access and may subject you to legal liability. 

Intellectual Property Rights 

The Website and its entire contents, features, and functionality (including but not limited  to all information, software, text, documents, materials, displays, images, video, and  audio, and the design, selection, and arrangement thereof) are owned by the Company,  its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or  proprietary rights laws. These Terms of Use permit you to use the Website for your personal, non-commercial  use only. You may not reproduce, distribute, modify, create derivative works of, publicly  display, publicly perform, republish, download, store, or transmit any of the material on  our Website, use any content from this site to train, fine-tune, or improve any machine  learning or AI models, except as follows: 

  • Your computer may temporarily store copies of Website materials in RAM  incidental to your accessing and viewing those materials; 
  • You may store files that are automatically cached by your Web browser for display  enhancement purposes; 
  • You may print or download one copy of a reasonable number of pages of the  Website for your own personal, non-commercial use and not for further  reproduction, publication, or distribution; and 
  • If we provide social media features with certain content, you may take such actions  as are enabled by those features.

Any use of the Website not expressly permitted by these Terms  of Use is a breach of these Terms of Use and may violate copyright, trademark, and other  laws.

The Company’s name, its logo, and all related names, logos, product and service names,  designs, and slogans are trademarks of the Company or its affiliates or licensors. You  must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the  trademarks of their respective owners.

You may use the Website only for lawful purposes and in accordance with these Terms  of Use. You agree not to use the Website or its content:

Monitoring and Enforcement; Termination 

We have the right to: 

  • Take any action with respect to the use of the Website that we deem necessary or  appropriate in our sole discretion. 
  • Take appropriate legal action, including without limitation, referral to law  enforcement, for any illegal or unauthorized use of the Website. 
  • Terminate or suspend your access to all or part of the Website for any or no reason,  including without limitation, any violation of these Terms of Use. 

Without limiting the foregoing, we have the right to cooperate fully with any law  enforcement authorities or court order requesting or directing us to disclose the identity  or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES,  AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION  TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A  CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW  ENFORCEMENT AUTHORITIES.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors,  and service providers, and its and their respective officers, directors, members,  employees, contractors, agents, licensors, suppliers, successors, and assigns from and  against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or  fees (including reasonable attorneys’ fees) arising out of or relating to your violation of  these Terms of Use or your use of the Website. 

Governing Law and Jurisdiction 

All matters relating to the Website and these Terms of Use and any dispute or claim arising  therefrom or related thereto (in each case, including non-contractual disputes or claims),  shall be governed by and construed in accordance with the internal laws of the State of  Maryland without giving effect to any choice or conflict of law provision or rule (whether  of the State of Maryland or any other jurisdiction). 

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or  the Website shall be instituted exclusively in the federal or state courts located in the State  of Maryland, although we retain the right to bring any suit, action, or proceeding against  you for breach of these Terms of Use in your place of residence or any other relevant  venue. You waive any and all objections to the exercise of jurisdiction over you by such  courts and to venue in such courts. 

Arbitration 

Except for actions by the Company arising from non-payment of any monies due to the  Company or requests for injunctive or other extraordinary relief, each of which may be  pursued in a court of law having competent jurisdiction, any dispute arising out of or in  connection with the Website shall be resolved by binding arbitration conducted by an  arbitrator. To commence arbitration, the party desiring arbitration shall notify the other  party in writing of its desire to arbitrate, which shall include a brief description of the  disputes and/or issues to be arbitrated (“Arbitration Notice”). If the parties are unable to  mutually agree upon the selection of the arbitrator within thirty (30) days of the Arbitration  Notice, then one shall be appointed and the arbitration shall be conducted pursuant to  JAMS. The arbitration proceedings shall be conducted in the State of Maryland. The arbitrator shall not contravene or vary in any respect any of the terms and provisions of  this Agreement. The award of the arbitrator shall be final and binding upon the parties  hereto, their heirs, administrators, executors, successors and assigns, and a judgment  upon such award shall be entered in any court having jurisdiction. In any proceeding,  whether in court or in arbitration, the court or arbitrator may award to the prevailing party,  as a recovery from the other party, all expenses, including, but not limited to, reasonable  attorneys’ fees and/or the arbitrator’s fees incurred in instituting or defending such action. 

YOU AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE  PLACE ON ANY INDIVIDUAL BASIS; CLASS ARBITRATION AND CLASS ACTIONS  ARE NOT PERMITTED AND YOU AGREE TO GIVE UP THE ABILITY TO PARTICIPATE  IN A CLASS ACTION. 

Limitation on Time to File Claims 

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING  TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE  (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE  OF ACTION OR CLAIM WILL BE PERMANENTLY BARRED. 

Waiver and Severability 

No waiver by the Company of any term or condition set out in these Terms of Use shall  be deemed a further or continuing waiver of such term or condition or a waiver of any  other term or condition, and any failure of the Company to assert a right or provision under  these Terms of Use shall not constitute a waiver of such right or provision. If any provision  of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be  invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or  limited to the minimum extent such that the remaining provisions of the Terms of Use will  continue in full force and effect. 

Entire Agreement 

The Terms of Use and our Privacy Policy constitute the sole and entire agreement  between you and TurnKey DPC regarding the Website and supersede all prior and  contemporaneous understandings, agreements, representations, and warranties, both  written and oral, regarding the Website. 

Changes to the Terms of Use 

We may revise and update these Terms of Use from time to time in our sole discretion.  All changes are effective immediately when we post them, and apply to all access to and  use the Website. Please look at the “LAST UPDATED” legend above to see when the  Terms were last revised.
